Victor N. Morganthaler

Mr. Morganthaler represents developers, municipalities, quasi-public agencies, lenders, borrowers, and private companies in complex commercial real estate, construction, and business transactions. His practice spans site acquisition, real estate and asset-based financing, commercial leasing, and the purchase and sale of commercial properties across a wide range of asset classes.


Mr. Morganthaler has extensive experience in the structuring, negotiation, and documentation of construction and development projects at all stages of the project lifecycle. He regularly prepares and negotiates procurement documents, design agreements, construction contracts, and related project documentation for large-scale public and private developments, including educational facilities, mixed-use projects, and renewable energy installations. His work reflects a practical, detail-oriented approach that balances legal risk with project execution.

  • Recent Representative Experience

    Drafted and negotiated construction and design agreements for more than 50 eight- and nine-figure projects on behalf of municipalities, quasi-public entities, developers, financial institutions, and private companies, including a Fortune 500 manufacturer.


    Represented clients in the development of mixed-use projects, including a project consisting of 78 residential units and approximately 22,500 square feet of commercial space.


    Advised on the development and construction of numerous educational facilities, including West Haven High School, Stratford High School, New London High School, CREC Academy of Aerospace Elementary School, and CREC Ana Grace Academy of the Arts.


    Negotiated turnkey (supply and installation) contracts and related agreements for renewable energy projects totaling more than 1.7 gigawatts across multiple U.S. states and Canada, including master supply agreements for large-scale solar developments.


    Represented institutional clients in connection with facility leasing and construction matters, including office buildouts and renovations for national financial services and healthcare companies.


    Prepared and negotiated purchase and sale agreements for properties developed for educational use, including land acquisitions for magnet high schools totaling approximately 145,000 to 148,000 square feet.


    Closed commercial mortgage loans for mutual and life insurance companies secured by office buildings, grocery-anchored retail centers, and multifamily properties across multiple states.


    Represented hotel owners and operators in the acquisition and financing of hospitality assets, including a 130-room boutique hotel with food and beverage operations in Park City, Utah.


    Negotiated acquisition, development, financing, and leasing arrangements for an eight-figure specialized manufacturing facility involving environmental remediation and cross-border counterparties.


    Represented purchasers in the acquisition and financing of retail, office, and industrial properties nationwide, including a portfolio of office and industrial complexes in North Charleston, South Carolina.


    Advised a real estate investment trust in connection with the acquisition and operation of multifamily and specialty retail properties with a nine-figure aggregate value.


    Prepared and negotiated supply agreements, purchase orders, and construction-related contracts for industrial and manufacturing clients.


Education:

Victor attended the United States Air Force Academy (1979–1982), is a graduate of Hamilton College (B.A., 1984) and University of Connecticut School of Law (J.D., 1987).
